The Special Purpose Acquisition Companies (Spacs) were born in the United States and have operated on the capital markets for at least four decades. Compared to traditional Initial Public Offerings (Ipos), their growth, especially in the Us, has been exponential. The financial literature has focused on the American Spacs, reaching the conclusion that the Spac Ipos and the Business Combinations have stock market performances lower than the market, while the sponsors manage to obtain very high returns thanks to the special shares obtained at discounted prices. The equity behavior of European Spacs shows more encouraging results than their Us peers and this is particularly relevant for retail investors who usually keep them in their portfolio for a long time.

Le Special Purpose Acquisition Companies (Spac) sono nate negli Stati Uniti e sono presenti sui mercati dei capitali da almeno quattro decenni. Rispetto alle tradizionali Initial Public Offerings (Ipo) la loro crescita, soprattutto nel paese di origine, è stata esponenziale. La letteratura finanziaria si è concentrata sulle Spac americane giungendo quasi uniformemente alla conclusione che le Ipo di Spac e le Business Combination registrano performance borsistiche inferiori a quelle del mercato azionario di riferimento mentre gli sponsor riescono a ottenere rendimenti molto elevati grazie alle azioni speciali ottenute a prezzi scontati. Il comportamento azionario delle Spac europee mostra risultati più incoraggianti delle loro pari americane e questo è particolarmente rilevante per gli investitori retail che di solito acquistano azioni con l’intento di mantenerle a lungo in portafoglio.
